These Terms of Service ("Terms") govern access to and use of capsend(the "Service"), operated by [COMPANY LEGAL NAME], [ADDRESS] ("we", "us", "our"). By creating an account or otherwise using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

1. The Service

capsend lets you send decks, share files, and run data rooms behind trackable links. Depending on your plan, the Service may include per-slide viewer analytics, dynamic watermarking, an NDA acceptance gate, custom subdomains and branding, and view notifications. We may add, change, or remove features at any time, and will make reasonable efforts to notify you of material changes that affect a paid plan.

2. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account and workspace, including actions taken by team members you invite. Notify us promptly at [CONTACT EMAIL] if you suspect unauthorized access.

3. Plans & Billing

The Service is offered on Free, Pro, and Scale plans, billed per workspace, not per seat, at the prices published at /pricing. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Prices are shown exclusive of applicable VAT unless stated otherwise. You can upgrade, downgrade, or cancel a paid plan at any time from workspace settings; downgrades and cancellations take effect at the end of the current billing period and we do not provide partial refunds for unused time, except where required by law. Failure to pay may result in suspension or downgrade of your workspace to the Free plan.

4. Acceptable Use

You agree not to use the Service to:

  • Upload or distribute content you do not have the right to share;
  • Send unlawful, infringing, defamatory, or fraudulent material;
  • Attempt to bypass link expiry, watermarking, or access controls;
  • Probe, scan, or interfere with the Service's infrastructure;
  • Use the Service to send unsolicited bulk communications; or
  • Resell or sublicense the Service without our written consent.

We may suspend or terminate access for accounts that violate this section, with or without notice, depending on severity.

5. Content Ownership

You retain all rights to the decks, files, and other content you upload ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide the Service — for example, generating per-slide analytics, stamping watermarks, or serving a data room to an invited viewer. We do not claim ownership of Customer Content and do not use it to train models or for any purpose beyond operating the Service for you.

6. Availability & Support

We aim to keep the Service available at all times but do not guarantee uninterrupted access. Scheduled maintenance and third-party outages (see our Privacy Policy for the processors we rely on) may cause temporary disruption. Support is provided by email at [SUPPORT EMAIL] on a best-effort basis; response times may vary by plan.

7. Limitation of Liability

To the maximum extent permitted by law, capsend and its officers, employees, and affiliates will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the fees you paid us in the twelve months preceding the event giving rise to the claim, or [LIABILITY CAP AMOUNT] if you are on the Free plan. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for gross negligence, wilful misconduct, or death or personal injury.

8. Termination

You may stop using the Service and delete your workspace at any time from settings. We may suspend or terminate your access for breach of these Terms, non-payment, or if required by law. On termination, your right to access the Service ends; we will retain or delete Customer Content in line with our Privacy Policy and applicable data retention obligations. Sections that by their nature should survive termination (including Sections 5, 7, and 9) will survive.

9. Governing Law

These Terms are governed by the laws of [GOVERNING LAW], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of [VENUE], except where mandatory consumer-protection law provides otherwise. We may update these Terms from time to time; material changes will be notified to workspace owners by email or in-product notice before taking effect.
